For partners

Waykaro Partner Agreement

Version 1.0 · in force from 3 September 2026

This is the agreement between Waykaro and the hotels, guesthouses, apartments and car rental companies that list on it. You are asked to accept it when you apply, and you can read it here at any time.

Parties

This Agreement is made between:

Waykaro ("Waykaro", "we", "us"), operator of the booking platform at www.waykaro.com; and

the Partner ("you"), the business named in the Partner Details schedule at the end of this Agreement.

It takes effect on the date Waykaro approves your listing application (the "Start Date").

1. What this Agreement covers

1.1 This Agreement governs your use of Waykaro to advertise and receive bookings for:

  • (a) accommodation — hotels, guesthouses, apartments and similar; and/or
  • (b) vehicle hire — cars and other vehicles offered with or without a driver.

1.2 The category or categories that apply to you, and the country you operate in, are set out in the Partner Details schedule.

1.3 Where this Agreement conflicts with Waykaro's general Terms of Use, this Agreement prevails for you as a Partner.

2. What Waykaro is, and what it is not

2.1 Waykaro is a booking platform. It advertises your rooms or vehicles, takes booking requests from guests, passes those requests to you, and keeps a record of them.

2.2 Waykaro is not the operator. We do not own, run, manage, staff or inspect your property or your vehicles. We are not a party to the contract between you and your guest.

2.3 When a guest books, the contract for the stay or the hire is between you and the guest directly. You are the supplier of that service. We introduce you to each other and record the booking.

2.4 Waykaro is not your agent and does not have authority to bind you, other than to pass on a booking request for your decision.

2.5 Nothing in this Agreement creates a partnership, joint venture, franchise or employment relationship between us.

3. Money — how you are paid

This section is the heart of the Agreement. Read it carefully.

3.1 You set your own prices. You decide your nightly rate or daily hire rate, your minimum stay, your deposit, and any extras. Waykaro does not set, cap or discount your prices.

3.2 The guest pays you in full, directly. The guest pays your price to you, in full, in whatever way you already accept payment — cash, mobile money, card, bank transfer, your choice. Payment is made to you on arrival, at collection, or on any other terms you agree with the guest.

3.3 Waykaro does not hold your money. We never collect your rate, we never hold it on your behalf, and we never forward it to you. There is no payout, no settlement cycle and no payment schedule, because your money never passes through us.

3.4 Waykaro's commission is set out in Schedule 1. At the date of this Agreement that rate is zero. You keep 100% of the price you charge.

3.5 The guest pays Waykaro a separate reservation fee. When a guest books through the platform, they pay Waykaro a reservation fee online. That fee:

  • (a) is added on top of your price, not taken out of it;
  • (b) is charged to the guest, not to you;
  • (c) is Waykaro's charge to the guest for the booking service; and
  • (d) is shown to the guest, separately from your price, before they pay anything.

3.6 You are shown both figures — your price and the total the guest pays — so there is nothing hidden from you.

3.7 Changing the commission rate. Waykaro may change the rate in Schedule 1 only by giving you at least ninety (90) days' written notice. A change never applies to a booking already made. If you do not accept a new rate you may terminate this Agreement under clause 12 before it takes effect, with no penalty and no fee.

3.8 Currency. Guests are charged in US dollars. A guest booking from outside the country may be charged in their own currency by our payment processor, which does not change the amount you receive or the currency you are paid in.

3.9 Taxes are yours. You are responsible for your own taxes, including any tax due on the income from bookings taken through Waykaro, and for issuing any receipt or invoice a guest or a tax authority requires of you.

4. Getting listed

4.1 You apply by completing Waykaro's partner application. We review each application and aim to decide within 48 hours of receiving complete details.

4.2 Before your listing goes live we verify, at minimum:

  • (a) that the business exists and is contactable at the details you gave;
  • (b) that you are entitled to let the property or hire out the vehicles;
  • (c) that the location, description and photographs match what you are offering; and
  • (d) that a named person is responsible for answering booking requests.

4.3 There is no listing fee and no monthly fee. Creating your listing, uploading photographs, setting your rooms or vehicles, your rates and your availability, and appearing on Waykaro, cost you nothing.

4.4 Waykaro may decline an application, and may decline it without giving a reason.

4.5 On approval you create your own sign-in and manage your listing yourself through the partner dashboard. Keep your password to yourself. You are responsible for anything done through your account, and for removing access from staff who leave.

5. What you must give us, and keep accurate

5.1 You confirm that everything you give us is true, and that you will keep it up to date. In particular:

  • (a) you are the owner, or are otherwise legally entitled to let or hire out, everything you list;
  • (b) the photographs are of your own property or vehicles, are recent, and are yours to use;
  • (c) the location, capacity, facilities and vehicle details are accurate;
  • (d) your rates and your availability are current; and
  • (e) the phone number and email address on your account reach a person who can answer a booking.

5.2 Availability is your responsibility. A room or vehicle shown as available must be genuinely available. Repeatedly having to decline bookings because your calendar is wrong is grounds for suspension under clause 11.

5.3 You must tell us promptly if you stop trading, change ownership, move premises, or can no longer honour bookings.

6. Handling bookings

6.1 A booking request is not a confirmed booking. You review each request and either confirm or decline it.

6.2 Respond promptly. You should answer a booking request within the time stated in your dashboard. A request left unanswered damages the guest's trip and the platform's reputation, and persistent silence is grounds for suspension.

6.3 Honour what you confirm. Once you confirm a booking you must provide the room or vehicle described, on the dates and at the price confirmed. A confirmed booking keeps the price it was confirmed at, even if you later change your rates.

6.4 If you genuinely cannot honour a confirmed booking, you must tell us and the guest immediately, and you must help find the guest an equivalent alternative. Cancelling confirmed bookings is the single fastest way to lose your listing.

6.5 Overbooking. You must not accept a booking you cannot fulfil in order to hold a guest while you look for a better one.

6.6 You may set your own cancellation and deposit terms for the guest, provided they are stated clearly on your listing before the guest books, and provided they are not misleading.

7. Guest details and data protection

7.1 We give you the guest's name, contact details and booking details so that you can provide the stay or the hire.

7.2 You may use those details only for that booking. You must not add the guest to a marketing list, sell or share their details, or contact them for any other purpose, without their clear consent.

7.3 You must keep guest details secure, and must not keep them for longer than you need them or than the law requires.

7.4 You must tell us without delay if guest details you hold are lost, stolen or disclosed.

7.5 Do not take the guest off-platform. You must not ask a guest who found you through Waykaro to cancel and rebook with you directly in order to avoid the reservation fee, and you must not offer them an inducement to do so.

8. Your own legal obligations

8.1 You are responsible for holding, and keeping current, everything the law requires of your business, including:

  • (a) any business registration, licence or permit;
  • (b) any health, safety, fire or hospitality certification;
  • (c) insurance appropriate to your business; and
  • (d) for vehicle hire: valid registration, roadworthiness, and insurance covering hire use.

8.2 Vehicle hire — drivers. Before handing over a vehicle to a renter who will drive it themselves, you must verify that they hold a valid driving licence accepted in the country of hire. This obligation is yours alone. Waykaro does not check licences and does not verify a renter's fitness to drive.

8.3 You must comply with all applicable law in how you operate, including law on discrimination, on safety, and on the treatment of guests.

8.4 Waykaro does not inspect your premises or your vehicles, and nothing in our verification under clause 4.2 is a safety inspection or a substitute for your own obligations.

9. Reviews

9.1 Only a guest with a genuine booking reference may leave a review, and only after the stay or the hire.

9.2 Waykaro does not edit or remove reviews because a Partner dislikes them. We will remove a review that is abusive, that is not about the stay, that identifies other people, or that we have good reason to believe is not genuine.

9.3 You must not offer a guest anything in exchange for a review, write reviews of your own business, or write reviews of a competitor.

10. Exclusivity, and what we do not promise

10.1 This Agreement is not exclusive. You are free to list on any other platform, to take direct bookings, and to charge different prices elsewhere. We do not require rate parity.

10.2 Waykaro does not promise you any particular number of bookings, any level of visibility, or any position in search results.

10.3 We may change how the platform looks and works, and how listings are ordered, at any time.

11. Suspension and removal

11.1 Waykaro may suspend or remove your listing, with immediate effect, if:

  • (a) you cancel confirmed bookings repeatedly;
  • (b) your listing, photographs or availability are inaccurate or misleading;
  • (c) you fail to respond to booking requests;
  • (d) you ask guests to pay outside the platform to avoid the reservation fee;
  • (e) you receive serious or repeated complaints from guests;
  • (f) you lack a licence, insurance or certification the law requires;
  • (g) you give us false information; or
  • (h) you breach any other term of this Agreement.

11.2 Except where the reason is urgent — safety, fraud, or a legal requirement — we will tell you why and give you a reasonable opportunity to put it right first.

11.3 If your listing is removed you must still honour every booking already confirmed.

12. Term and ending this Agreement

12.1 This Agreement runs from the Start Date until either of us ends it.

12.2 You may end it at any time, by written notice to us, with no fee and no penalty.

12.3 We may end it on thirty (30) days' written notice, or immediately in any of the circumstances in clause 11.1.

12.4 On termination, whichever of us ended it:

  • (a) your listing is removed from the platform;
  • (b) you must honour every booking already confirmed, including bookings for dates after termination, unless the guest agrees otherwise;
  • (c) clauses 3.9, 7, 13, 14 and 16 continue to apply.

13. Liability

13.1 You are responsible for your own service. You are responsible for the condition, safety, cleanliness and legality of your property or vehicles, for the conduct of your staff, and for anything that happens to a guest during their stay or hire.

13.2 Waykaro is not liable for any loss arising from your business or your service, including injury, illness, loss or damage to property, theft, road accident, or a dispute between you and a guest.

13.3 You indemnify Waykaro against any claim, loss or cost we incur because of your breach of this Agreement, your service to a guest, or your failure to hold a licence or insurance the law requires.

13.4 Waykaro's liability to you for any claim under this Agreement is limited to the total reservation fees Waykaro collected on your bookings in the twelve months before the claim arose, or US$500, whichever is greater.

13.5 We do not exclude liability for our own fraud, or for anything the law does not allow us to exclude.

13.6 We try to keep the platform accurate and available but do not promise it will be uninterrupted or free of error, and we are not liable for bookings lost while it is unavailable.

14. Confidentiality and Waykaro's property

14.1 Neither of us will disclose the other's confidential business information, other than where the law requires it.

14.2 The Waykaro name, logo and platform remain ours. You may say you are listed on Waykaro and use our name and logo for that purpose, in the form we provide, and you must stop when this Agreement ends.

14.3 Your name, logo and photographs remain yours. You grant Waykaro a licence to display them on the platform, in search results, and in marketing for the platform, for as long as you are listed and for a reasonable period afterwards while cached copies expire.

15. Notices

15.1 Notice under this Agreement may be given by email to the address on your partner account, or to Waykaro at the support address published on the platform. Email is sufficient.

15.2 You must keep the email address on your account current. A notice sent to a stale address you failed to update still counts as given.

16. Changes, law and general

16.1 Changes to this Agreement. We may update it on thirty (30) days' written notice, except for the commission rate, which requires ninety (90) days under clause 3.7. If you do not accept a change you may terminate under clause 12.2 before it takes effect. Continuing to accept bookings after a change takes effect means you accept it.

16.2 Governing law. This Agreement is governed by the law of the country stated in the Partner Details schedule, and the courts of that country have jurisdiction. For Partners in Liberia, that is the law and the courts of the Republic of Liberia.

16.3 Disputes. Before going to court, each of us will try in good faith to resolve a dispute directly, for at least thirty (30) days after one of us raises it in writing.

16.4 If any part of this Agreement is unenforceable, the rest continues to apply.

16.5 This Agreement, with its schedules, is the whole agreement between us about the platform, and replaces anything said or written before it.

16.6 Neither of us may transfer this Agreement without the other's written consent, except that Waykaro may transfer it to a company that takes over its business.
